These Terms of Service (“Terms”) govern your access to and use of Klipseed (the “Platform”), including our website, applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.
1. Who we are
Klipseed is a marketplace that helps clients and creators collaborate on content production. Certain payments may be handled through blockchain transactions (for example, funding or releasing escrow with Base USDC).
2. Eligibility
You must be able to form a binding contract in your jurisdiction to use the Services. You agree not to use the Services if doing so is prohibited by applicable law.
3. Accounts and authentication
You are responsible for your account, including maintaining the security of any login method you use (such as Google sign-in) and for all activity that occurs under your account.
4. Creator profiles and social links
When a creator connects a social account (for example, YouTube via a “Connect” flow, or TikTok via TikTok Login Kit), we may display the verified link and basic public profile information (such as subscriber/follower count) in the creator’s profile.
You confirm that you are connecting an account you own or are authorized to use, and you must not impersonate others or misrepresent your identity or content ownership.
5. Deals, escrow, and on-chain actions
Some deal actions may require you to connect a wallet and sign blockchain transactions. Blockchain transactions are irreversible once confirmed. You are responsible for:
- verifying transaction details (amount, token, chain, recipient addresses) before confirming;
- maintaining sufficient funds for the payment and network fees (“gas”);
- understanding that network congestion may delay confirmations.
We do not control the blockchain network, your wallet provider, or third-party nodes. We may provide guidance in the UI, but you remain solely responsible for signing transactions.
6. Platform fees
We may charge a platform fee on transactions. Fees are intended to be reflected in the user experience at the time of a transaction. Fees may change over time.
7. Affiliate referrals
The Platform may support affiliate referrals. If enabled, a portion of fees related to eligible transactions may be routed to affiliate addresses. The exact split may depend on who referred the client and/or creator, and may be visible via transaction explorers for on-chain releases.
8. Client and creator responsibilities
- Clients are responsible for providing accurate briefs, requirements, and timely reviews/acceptance when applicable.
- Creators are responsible for producing and delivering content that matches the agreed scope and any applicable platform rules.
9. Prohibited content and conduct
You agree not to use the Services to:
- engage in fraud, scams, or deceptive practices;
- infringe intellectual property rights or upload content you do not have rights to use;
- harass, threaten, or abuse others;
- attempt to bypass security, abuse APIs, or interfere with the Platform’s operation.
10. Intellectual property
These Terms do not automatically transfer ownership of content between clients and creators. Rights, licenses, and permitted usage should be agreed as part of each deal or brief. You represent that you have the necessary rights to provide any content or materials you upload or share through the Platform.
11. Disputes and support
If a dispute arises, we may offer support tools and review information available within the Platform. However, on-chain transactions may not be reversible. Our ability to intervene depends on the specific payment flow and smart contract rules.
12. Service availability
The Services are provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue parts of the Services at any time.
13. Third-party services
Third-party services (including Google, TikTok, YouTube, X/Twitter, and Instagram) are governed by their own terms and policies. Klipseed is not responsible for their availability, outages, or policy changes.
13. Disclaimers
Klipseed is not a bank, money transmitter, or wallet provider. We do not provide investment, legal, or tax advice. Blockchain networks and third-party wallet providers may experience outages or failures.
14. Limitation of liability
To the maximum extent permitted by law, Klipseed will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services.
15. Termination
You may stop using the Services at any time. We may suspend or terminate access if we believe you violated these Terms or if required to comply with law.
16. Changes to these Terms
We may update these Terms. If we make material changes, we will update the “Last updated” date and may provide additional notice within the Services.
